Terms for transporters who join the YatGo network as independent service providers on our Kenyan managed dispatch platform.
This Agreement does not create, and shall not be construed as creating, an employment relationship between the parties within the meaning of the Employment Act (Kenya). The Transporter is engaged strictly as an independent contractor and not as an employee of YatGo.
Accordingly, the Transporter shall not be entitled to any employee benefits, statutory deductions, or labour protections applicable exclusively to employed persons. The Transporter shall be solely responsible for the payment of all applicable taxes, procurement and maintenance of appropriate insurance, and full compliance with all relevant laws and regulatory requirements in Kenya.
This Agreement governs the relationship between YatGo Logistics Solutions and the Transporter on the YatGo platform.
A "Transporter" means a vehicle owner, fleet operator, or duly authorized driver who owns, operates, or has lawful control of a motor vehicle and provides transport services.
To qualify as a YatGo Transporter, you must meet all of the following requirements at all times:
The Transporter registration process consists of three steps: personal details submission, document upload and verification, and account creation and password setup. No Transporter will be assigned any job until all documents are verified and the application is formally approved by YatGo in writing or via the platform.
All of the following documents are mandatory. Incomplete applications will not be processed:

Such Letter of Authorisation shall include the owner's full name, National Identification Number, passport-size photograph, and signature. The registered owner shall, upon execution of the Letter of Authorisation, be bound jointly and severally with the driver under this Agreement. |
Submitting false, forged, or expired documents is grounds for immediate and permanent rejection from the YatGo network and may be reported to the relevant Kenyan authorities.
YatGo will review and process your application within 5 business days of receiving a complete set of documents. If additional verification is required, YatGo will notify you within that period and provide a revised timeline. You will not be assigned any jobs until your application is formally approved.
YatGo reserves the right to reject any application without being obliged to state reasons. Rejected applicants may reapply after 90 days if the grounds for rejection have been resolved.
YatGo's operations team assigns transport jobs to available Transporters based on operational considerations, including location, vehicle type, and availability. Job details shall be communicated through the platform or via designated communication channels such as WhatsApp, and shall include the pickup location, delivery destination, description and nature of goods, and the relevant YatGo operations contact.
Upon acceptance of an assigned job, the Transporter shall be deemed to have accepted full responsibility for the safe and timely transportation of the goods as the principal service provider for that assignment. For purposes of service coordination and privacy protection, client personal contact details shall not be disclosed to Transporters, and all communications shall be facilitated through YatGo.
You are free to accept or decline any job. Upon receiving an Assignment notification, you must confirm acceptance within 30 minutes. Failure to respond within this period will result in the Assignment being offered to another Transporter. Consistent or repeated unexplained declines may result in reduced job frequency, account review, or removal from the network.
The Transporter shall assume full responsibility for the goods from the point of collection at pickup until final delivery to the designated recipient. In the performance of each assigned job, the Transporter shall comply strictly with the following obligations:
Upon delivery of goods, the Transporter shall complete the full Delivery Confirmation Procedure on the YatGo platform without exception. Payment will not be processed for any delivery where this procedure has not been fully completed. The procedure is as follows:
No payment will be processed for any delivery where the digital Delivery Note has not been fully completed and submitted, together with the loading and delivery photographs, within thirty minutes of delivery. This rule is absolute and applies to every single delivery without exception.
The Transporter shall ensure that the vehicle used for the provision of transport services remains at all times roadworthy, properly insured, and in a safe and fit condition for the transportation of goods, in compliance with the provisions of the Traffic Act (Kenya) and all applicable National Transport and Safety Authority (NTSA) regulations.
YatGo reserves the right, at any time during the subsistence of this Agreement, to request updated supporting documentation, including but not limited to proof of insurance, valid NTSA inspection certificates, and/or recent photographs of the vehicle. The Transporter shall furnish such requested documentation within forty-eight (48) hours of demand.
Failure to maintain the vehicle in the required condition or failure to provide the requested documentation within the stipulated timeframe may result in immediate suspension from the platform and/or termination of this Agreement.
You must never solicit, encourage, or accept off-platform bookings from YatGo Clients — whether during a job, after a job, or at any point after your registration on the platform. Any Transporter found to have solicited or accepted off-platform bookings from YatGo Clients will be immediately and permanently removed from the network. No earnings owed at the time of removal will be released until all outstanding matters are fully resolved. YatGo reserves the right to pursue legal and financial remedies for breach of this clause.
Your earnings per job will be communicated at the time of job assignment. Rates vary based on distance, vehicle type, and nature of goods. YatGo does not guarantee a minimum number of jobs or minimum monthly earnings. Rates are set by YatGo and may be revised with reasonable notice.
Payments for completed and confirmed deliveries are processed within 24 hours of successful submission of the digital Delivery Note together with all required photographs (before loading and after delivery). Payment is made directly to your registered M-Pesa number or bank account. You will receive a payment confirmation via WhatsApp upon processing.
Payment is strictly conditional on full completion of the digital Delivery Confirmation Procedure in clause 4.4. Deliveries where the digital Delivery Note has not been fully submitted with the required photographs (before loading and after delivery) within thirty minutes will not be paid until the submission is completed and verified.
As an independent contractor, you are solely responsible for the declaration and remittance of all taxes applicable to your earnings, including income tax payable to the Kenya Revenue Authority pursuant to the Income Tax Act (Cap. 470, Laws of Kenya). YatGo may withhold tax from your payments where required by Kenyan law and will remit such amounts directly to KRA on your behalf. YatGo will notify you of any withholding applied and provide the applicable documentation.
If you believe a payment is incorrect or a job has not been credited to your account, you must raise the dispute within 48 hours of the expected payment date by contacting info@yatgo.co.ke with your job reference number and the amount in question. YatGo will investigate and respond within 3 business days. Disputes raised after 48 hours will not be considered for that payment cycle.
YatGo may deduct from your earnings any amounts owed due to:
No deduction will be made without first notifying you in writing and giving you no fewer than 5 business days to submit a written response, except in cases of confirmed cargo theft or fraud.
Clients rate Transporters upon completion of every delivery on a scale of 1 to 5 stars. Ratings are based on punctuality, professionalism, goods handling, and overall experience. Ratings are calculated on a rolling average of the last 20 completed deliveries.

Transporter with a rating below 3.5 stars will receive a written warning and a 14-day improvement period. Transporter who fail to improve above 3.5 stars within the improvement period will be permanently removed from the YatGo network. YatGo reserves the right to remove any Transporter whose conduct poses a risk to Clients or the reputation of YatGo regardless of their rating.
Transporter are required to rate Clients upon completion of every delivery on a scale of 1 to 5 stars. Client ratings reflect punctuality, goods preparation, location accuracy, conduct, and overall experience. Ratings from both parties are submitted independently and revealed only after both parties have submitted their rating. The rating window closes 24 hours after delivery confirmation.
Client rating data informs YatGo's management of Client conduct and may result in account restrictions or removal for consistently low-rated Clients. Your rating of Clients is a professional responsibility and must be submitted honestly and promptly after every delivery.
YatGo will provide you with a monthly performance summary including your average rating, number of completed deliveries, number of cancellations, and any warnings or notices issued during the period.
The following conduct will result in immediate account suspension pending investigation:
Any confirmed case of cargo theft, regardless of value, will result in immediate and permanent removal from the network and referral to the Kenya Police Service. YatGo will pursue all available legal remedies including civil recovery action.
Upon suspension, YatGo will notify you in writing via WhatsApp or email stating the reason for suspension. You will have 5 business days to submit a written response to info@yatgo.co.ke. YatGo will complete its investigation within 10 business days of receiving your response and will issue a final decision of either reinstatement, reinstatement with conditions, or permanent deactivation.
If you are permanently deactivated and believe the decision was unjust, you may appeal in writing to info@yatgo.co.ke within 7 days of receiving the deactivation notice. The appeal will be reviewed by a senior YatGo representative not involved in the original investigation. A response will be provided within 7 business days. The appeal decision is final and binding.
The Transporter shall assume full responsibility for the custody, carriage, and delivery of all Client goods from the point of pickup until delivery to the confirmed destination. During this period, the goods shall remain under the Transporter's exclusive care, control, and supervision.
This responsibility constitutes a contractual bailment relationship and shall be governed by the principles of bailment under the Law of Contract Act (Kenya). Accordingly, the Transporter shall be liable for the safe handling and delivery of the goods in accordance with this Agreement and applicable law.
The Transporter shall be personally liable to YatGo for any loss or damage to Client goods arising from:
YatGo Logistics Solutions is a managed dispatch logistics company serving Nairobi and across Kenya. The company coordinates road transport services through a network of verified independent transporter partners. YatGo does not own vehicles and does not employ drivers. The physical transportation of cargo from one point to another is performed solely by independent transporter partners who own their vehicles, maintain their own commercial insurance, and operate under independent contractor arrangements with YatGo.
YatGo is a coordination platform — not a carrier. YatGo operates strictly as a technology-enabled logistics coordinator that facilitates connections between Clients and independent Transporters for transport needs. YatGo does not assume, and shall not be construed as assuming, the role of a carrier, bailee, employer, or insurer of goods. Accordingly, all transport services are performed solely by the Transporter as an independent contractor, and any liability arising from the carriage, custody, or delivery of goods shall rest exclusively with the Transporter, to the fullest extent permitted by law.
The Transporter shall fully indemnify, defend, and hold harmless YatGo, its directors, employees, agents, and affiliates from and against any and all claims, demands, actions, losses, damages, liabilities, penalties, costs, and expenses (including reasonable legal fees) arising out of or in connection with the Transporter's performance of transport services. This includes, but is not limited to, loss, theft, or damage to goods; road traffic accidents; personal injury or death; third-party property damage; breach of applicable law, including the Traffic Act (Kenya); negligence, misconduct, or unlawful acts; and any act or omission occurring in the course of service delivery.
Where any claim is brought by a Client against YatGo in relation to transport services, and such claim is investigated and determined to arise from the Transporter's acts or omissions, the Transporter shall be solely liable for all resulting losses or damages.
For the avoidance of doubt, YatGo shall not bear any primary or vicarious liability for goods transported, and no liability shall attach to YatGo for any act, omission, loss, or damage arising from or connected to the transport services. However, any determination of liability or recovery action against the Transporter shall be preceded by a fair internal review process, including written notification of the claim and provision of not less than five (5) business days for the Transporter to respond in writing before any final decision is made.
Where YatGo has compensated a Client for any loss, damage, liability, or expense arising from or attributable to the acts, omissions, negligence, misconduct, or breach of this Agreement by the Transporter, YatGo shall have the right of full recovery against the Transporter for the entire amount so paid, together with any associated costs reasonably incurred.
Such recovery may be effected by YatGo through one or more of the following means: deduction from any current or future earnings payable to the Transporter; issuance of a direct written demand for payment where available earnings are insufficient to satisfy the liability; and/or any other lawful debt recovery mechanism available under Kenyan law.
For the avoidance of doubt, the Transporter's obligations and liabilities under this clause shall survive termination or suspension of this Agreement and shall remain enforceable for the full duration permitted under the Limitation of Actions Act (Kenya) or any applicable statutory period, notwithstanding the end of the contractual relationship between the parties.
The Transporter shall, at all times during the subsistence of this Agreement, maintain valid and effective insurance coverage in respect of the vehicle used for transport services, including at minimum compulsory third-party motor vehicle insurance as required under the Traffic Act (Kenya). In addition, the Transporter shall maintain goods-in-transit insurance, with minimum coverage levels as may be specified by YatGo from time to time.
The Transporter shall remain solely responsible for obtaining, maintaining, and ensuring continuous validity of all required insurance policies for the duration of engagement with YatGo. YatGo does not provide, arrange, or underwrite any form of vehicle, cargo, or personal accident insurance for Transporters.
Failure by the Transporter to maintain the required insurance cover, or to provide evidence of valid insurance upon request, shall constitute a material breach of this Agreement and may result in immediate suspension and/or termination of access to the platform and services.
The Transporter shall be solely responsible for any personal injury or death of third parties, as well as any loss or damage to third-party property arising out of or in connection with the performance of transport services under this Agreement.
Where the Transporter is not the registered owner of the vehicle used in the provision of services, the Transporter and the vehicle owner shall be jointly and severally liable for all obligations, liabilities, duties, and indemnities arising under this Agreement, including any claims, losses, or damages arising from the operation or use of the vehicle in the course of providing transport services.
In cases of confirmed cargo theft or deliberate misappropriation of Client goods, the Transporter shall be immediately and permanently deactivated from the YatGo network and the matter shall be referred to the Kenya Police Service. YatGo will pursue all available legal remedies to recover losses including civil action. No earnings owed at the time of deactivation will be released until the matter is fully resolved.
Any traffic fines, court penalties, or legal costs arising from traffic offences or road violations committed during a job are the sole responsibility of the Transporter and or his agents under the Traffic Act (Cap. 403, Laws of Kenya). Where YatGo is held liable by any authority for a Transporter's traffic violation, the full cost including any administrative fees incurred by YatGo shall be recovered from the Transporter under clause 8.4.
In the event of a road accident occurring during the performance of an assigned job, the Transporter shall immediately take all reasonable steps to ensure the safety of all persons involved, including contacting emergency services where necessary. The Transporter shall notify YatGo's operations team within one (1) hour of the incident, fully cooperate with law enforcement authorities and any applicable insurance investigations, and submit a comprehensive written report of the incident to YatGo within twenty-four (24) hours.
The Transporter shall be solely responsible for maintaining valid third-party and any required commercial insurance coverage. YatGo does not provide vehicle insurance, personal accident cover, or any form of financial protection in respect of road incidents. Accordingly, all accident-related liabilities, including but not limited to traffic fines, legal costs, claims, damages, or other expenses arising from such incidents, shall be borne exclusively by the Transporter.
You agree not to disclose to any third party any Client personal information obtained through the platform, YatGo's internal pricing structures, operations processes, dispatch systems, Transporter's rates, or any information designated as confidential by YatGo. This obligation survives the termination of this Agreement indefinitely.
Breach of this confidentiality obligation is a serious matter and may result in legal action by YatGo to recover any losses suffered as a result of the breach, in addition to immediate removal from the network.
You may exit the YatGo Transporter Network at any time by providing 7 days' written notice to info@yatgo.co.ke. All pending payments for completed and confirmed deliveries will be processed at the next regular payment cycle after the notice period. You must continue to fulfil all accepted Assignments during the notice period.
YatGo may terminate this Agreement immediately for any conduct described in clause 7.1, or with 7 days' notice for operational, commercial, or platform restructuring reasons. Immediate termination requires no notice period and no prior warning where the conduct is sufficiently serious.
Upon termination for any reason, you must immediately cease representing yourself as a YatGo Transporter, cease using any YatGo branding or materials, and return any YatGo property if applicable. All earned and unpaid amounts for confirmed deliveries will be settled at the next payment cycle following termination unless otherwise disputed or subject to outstanding liability under clause 8 of this Agreement. Any outstanding liability under clause 8 survives termination.
This Agreement is governed by the laws of the Republic of Kenya. Any dispute arising from this Agreement shall first be referred to good-faith mediation between you and a YatGo representative. If unresolved within 14 days, the dispute shall be submitted to binding arbitration under the Nairobi Centre for International Arbitration (NCIA) rules pursuant to the Arbitration Act (Cap. 49, Laws of Kenya), seated in Nairobi. Nothing in this clause prevents YatGo from seeking urgent relief from a Kenyan court.
YatGo may amend this Agreement at any time. You will be notified of material changes at least 14 days before they take effect via WhatsApp or email to info@yatgo.co.ke. Continued operation on the platform after the effective date of changes constitutes acceptance of the revised Agreement.
If any provision of this Agreement is found to be invalid or unenforceable under Kenyan law, that provision shall be modified to the minimum extent necessary to make it enforceable. All remaining provisions shall continue in full force and effect.
This Transporter Agreement, together with YatGo's Terms of Service and Privacy Policy, constitutes the entire agreement between you and YatGo and supersedes all prior representations, understandings, or agreements whether written or oral. In the event of any conflict between this Transporter Agreement and the Terms of Service, this Agreement shall prevail in matters relating specifically to Transporters.
By accepting this Agreement, including through submission of an application and confirmation via the platform, the Transporter acknowledges that they have read, understood, and agree to be bound by the terms of this Agreement in its entirety, together with YatGo's applicable Terms of Service and Privacy Policy.
The Transporter further confirms that they are engaged as an independent contractor, assume full responsibility and risk in respect of the provision of transport services, and agree to indemnify YatGo in accordance with the provisions of this Agreement. The Transporter warrants that all information and documentation submitted in support of their application is true, accurate, and complete.
